Terms of Service for Catalogue 360

Welcome to Catalogue 360, a product of Heronhats LLP.

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Catalogue 360 website, the digital menu system, or the Catalogue 360 Merchant Android Application (collectively, the "Service") operated by Heronhats LLP ("us", "we", or "our").

1. Acceptance of Terms

By accessing or using the Service—whether as a business owner ("Merchant") managing a menu or as a customer ("User") viewing a menu—you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

Catalogue 360 is a digital platform that facilitates the following:

  • For Merchants: Allows business owners (restaurants, resorts, theatres, etc.) to create and manage digital menus via a dedicated Android Application.
  • For Users: Allows customers to scan a QR code to view these digital menus and place orders.
  • WhatsApp Integration: The Service generates a pre-filled message based on the User's selection, which is then redirected to WhatsApp to complete the ordering process.

3. Role of Catalogue 360

You acknowledge that Catalogue 360 is strictly a technology provider.

  • We are not a party to the transaction: The actual contract for the sale of goods or services is directly between the Merchant and the User.
  • We do not handle payments: All payments, order confirmations, and fulfillments are handled externally (e.g., via cash, UPI, or other methods agreed upon between the Merchant and User on WhatsApp).
  • WhatsApp: We are not affiliated with WhatsApp Inc. The delivery of the order message relies on the functionality of the WhatsApp application and the User's internet connection.

4. Merchant Responsibilities

If you are using the Catalogue 360 Android App to manage your business, you agree that:

  • Accuracy: You are solely responsible for the accuracy of menu items, prices, availability, and descriptions displayed on the Service.
  • Fulfillment: You are responsible for monitoring your WhatsApp for incoming orders and fulfilling them. Heronhats LLP is not liable for missed orders.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials for the Android App.

5. User Responsibilities

If you are a User scanning a QR code, you agree that:

  • Valid Orders: You will only send order messages via WhatsApp if you intend to make a legitimate purchase.
  • Data Charges: You are responsible for any mobile data charges incurred while loading menus or sending WhatsApp messages.

6. Intellectual Property

The Service and its original content (excluding content provided by Merchants), features, and functionality are and will remain the exclusive property of Heronhats LLP. The "Catalogue 360" name and logo are trademarks of Heronhats LLP.

7. Limitation of Liability

To the maximum extent permitted by law, Heronhats LLP shall not be liable for:

  • Any indirect, incidental, or consequential damages resulting from the use of the Service.
  • Errors or omissions in menu content provided by Merchants.
  • The quality, safety, or legality of items purchased via the Service.
  • Failure of WhatsApp services or internet connectivity preventing an order from being placed.

8. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

For Merchants: We reserve the right to suspend accounts that use the platform for illegal activities or violate our fair usage policy.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Ernakulam, Kerala.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
